Waystar & Iodine: La inteligencia que cura
Waystar Holding Group (NASDAQ: WAY), uno de los mayores actores en la industria tecnológica sanitaria, ha adquirido finalmente a Iodine Software, una firma de inteligencia artificial clínica que da servicio a más de 1.000 hospitales. El acuerdo fue anunciado y completado a finales de septiembre de 2025.
Ahora, queda claro cómo, a través de las recientes operaciones de M&A en el sector sanitario —como la adquisición de SpringWork Therapeutics por parte de Merck KGaA, Regulus Therapeutics por Novartis, o ENGIE Energy Access por Ignite Power— puede percibirse un fuerte apetito por la actividad de fusiones y adquisiciones en este sector.
En total, Waystar pagó aproximadamente 1.100 millones de dólares por Iodine: 458,6 millones de dólares en efectivo y un pago en acciones de 16,6 millones de títulos de Waystar (cada acción valorada en 37,31 dólares en el momento de la transacción).
Pero, ¿cuál es el razonamiento estratégico de Waystar detrás de esta adquisición en concreto?
La firma sanitaria, con una capitalización bursátil de más de 6.600 millones de dólares, ha decidido combinar datos financieros y clínicos dentro de una plataforma unificada impulsada por IA para la automatización del ciclo de ingresos. Con Barclays como asesor financiero (y J.P. Morgan apoyando a Iodine), Waystar ha optado por financiar el acuerdo mediante el refinanciamiento de su préstamo sindicado principal, reduciendo los tipos en 25 puntos básicos y añadiendo 250 millones de dólares en deuda incremental.
Entonces, ¿ha sido esta una buena decisión financiera y estratégica? Veámoslo más a fondo.
En términos de creación de valor, 16 de los 20 principales hospitales de EE. UU. son clientes de Waystar. Además, la compañía procesa más de 6.000 millones de transacciones sanitarias anualmente y da servicio a aproximadamente 30.000 clientes y más de 1 millón de proveedores de atención médica. Este acuerdo, para Waystar, parece ser el catalizador que permitirá desbloquear mayor impacto en la industria, mayor generación de ingresos, y reducción de costes mediante la centralización de operaciones bajo una única plataforma de IA que gestione todos los datos de pacientes y proveedores sanitarios (Investing.com, 2025).
¿Cómo se traduce toda esa eficiencia y centralización en la práctica?
Impacto en el mercado: Según la supuesta incorporación de la base de clientes de Iodine Software, se proyecta un aumento del 15 % en el valor del mercado direccionable de Waystar.
Ventaja financiera: Dado el modelo de negocio de alto margen de Iodine y su potencial de escalabilidad tecnológica, se espera una contribución inmediata al margen bruto y al EBITDA ajustado de Waystar, gracias a la reducción de los costes operativos y de ventas.
Crecimiento a largo plazo: Se proyecta un impacto positivo en los ingresos y el BPA (beneficio por acción) hacia 2027, basado en las nuevas capacidades que Iodine aporta y en la expansión de la base de clientes, lo cual haría de Waystar una empresa más atractiva para los inversores.
Solidez de liquidez: La liquidez no es un problema para Waystar, que cuenta con una ratio de liquidez de 3,43, lo que no solo ha permitido financiar la transacción, sino que también refuerza la confianza de los inversores, impulsando el precio de sus acciones y su capitalización bursátil.
Al mismo tiempo, J.P. Morgan y Baird continuaron emitiendo señales optimistas sobre el acuerdo de Waystar hasta su cierre.
Analistas de ambos bancos calificaron a Waystar como “outperformer” (rendimiento superior al mercado), con precios objetivo de entre 44 y 48 dólares, mostrando así la solidez de la empresa incluso antes de la finalización del acuerdo (Investing.com, 2025).
Otra forma en las que estas proyecciones alcistas pueden justificarse es mediante el análisis de la prima del 25 % al 30 % pagada sobre el valor empresarial (EV) de Iodine. Aunque este precio de compra final parezca, a primera vista, elevado, la expansión de la base de clientes, junto con los mayores márgenes futuros y el timing del mercado, convierten esta prima en una valoración razonable por las capacidades y la tecnología de vanguardia que Waystar está empezando a implementar tras el acuerdo.
Por otro lado, pocos días antes del cierre de la transacción, el 22 de septiembre, Waystar fue incluida en el índice S&P Small Cap 600, lo que demuestra la calidad de sus informes financieros. Sin embargo, cabe preguntarse si esta incorporación al índice estuvo estratégicamente conectada con la operación de Iodine, o si se trató simplemente de una coincidencia.
Tal vez el posicionamiento de Waystar para la operación haya enviado una señal positiva al mercado, mostrando que la empresa entraba en una nueva fase de crecimiento, aunque la inclusión en el índice ocurriera pocos días antes del cierre del acuerdo.

Now, it becomes clear how, through recent M&A deals in the healthcare sector (Merck KGaA acquiring SpringWork Therapeutics, Novartis acquiring Regulus Therapeutics or Ignite Power acquiring ENGIE Energy Access) there may be a large appetite towards Healthcare M&A activity.
Overall, Waystar’s purchasing price for Iodine was about $1.1 billion; with a $458.6 million in cash retainer and a stock payment of Waystar’s 16.6 million shares (each share being priced at $37,31 at the time of the transaction). But, what is Waystar’s strategic rationale behind this specific acquisition?
The Healthcare giant, with over $6.6 billion in market capitalization has decided to combine financial and clinical data into a unified AI-powered platform for revenue cycle automation. With Barclays by their side, as financial advisors (and J.P Morgan backing Iodine), Waystar has decided to finance the deal through the refinancing of their largest senior term loan, having lowered rates by 25 basis points and adding up $250 million as incremental debt. So, was this a good financial and strategic decision? Let’s dive deeper.
In terms of value creation, 16 out of the 20 top US hospitals are Waystar-covered; on top of that, Waystar processes more than 6 billion healthcare payment transactions annually, and serves, more or less, 30,000 clients and over 1 million healthcare providers. This deal, for Waystar, appears to be the catalyst to unlock, not only more impact on the industry and revenue generation, but also the capacity to reduce costs and centralize operations under a single AI-driven platform to manage all the data received from patients and healthcare providers. Now, how would all of that expected efficiency and centralization play out in a practical manner?
Market impact: according to the alleged addition of Iodine Software’s client base, there is a projected 15% increase in the new value of addressable market for Waystar.
Financial upside: given Iodine’s high-margin business model and tech scalability potential, there is a clear expectation of immediate contribution of the deal to Waystar’s gross margin and adjusted EBITDA, having reduced selling, general and administrative costs, aside from the costs of goods and services sold.
Long-term growth: at the same time, there is an expected positive impact projected in revenue and EPS by 2027, based on the sole fact that the new capabilities, plus the client base Iodine is bringing, will eventually make Waystar far more attractive for old and new investors. Thereby, the increase in earnings will drive Waystar’s projected EPS far beyond.
Liquidity strength: liquidity is not an issue for Waystar, having a 3.43 calculated liquidity ratio which has not only supported the transaction, but is also proof that investors are right to be bullish on Waystar, driving their share price and market capitalization.
At the same time, J.P Morgan and Baird have continued to draw bullish signals of Waystar’s deal until the completion of it. Analysts from both banks rate Waystar as “outperformer”, through statements where the firm projected price target of $44 and $48. Therefore, showing how good of an investment Waystar had been pre-deal closure (Investing.com, 2025).
Furthermore, another way in which bullish projections may have been justified is through the analysis of the 25%-30% prime paid over Iodine’s enterprise value. Although this final purchasing price appears, at first glance, to be slightly steep, Waystar’s client base expansion, alongside its future higher margins and the market timing of this deal, makes it somewhat of a fair prime to be paid over the capabilities and cutting-edge tech that Waystar is beginning to test on the aftermath of this deal.
Just some days before the completion of the deal, on September 22, Waystar was added to the S&P Small Cap 600, showing the quality of its financial reports, although perhaps this addition of Waystar to the index may be strategically connected to the Iodine deal, or is that just a coincidence?
Perchance Waystar’s positioning for the deal may have unlocked some signaling to the market where it may have been entering a new growth phase, although the index inclusion happened just a few days prior to the Idoine closure. Nevertheless, being added to the S&P SmallCap 600 is a clear indicator of institutional investor interest, liquidity reputation and, to a certain extent, some form of market validation showing how Waystar ‘s fundamental numbers on revenue growth, margin profile and scalability are worthy of being added to the index. Thereby, was it a coincidence or is it actually a well-executed strategy?
Either way, Waystar is now rocketing through the Healthcare industry whilst thousands of clients are expected to benefit from the data processes efficiency that Waystar is signaling after the deal.
